These terms constitute a legally binding agreement between you (the "Client" or "Customer") and YSCONVEY (the "Company"). If you do not agree to these terms, please discontinue use of our services immediately.

YSCONVEY offers the following services:

Order Process and Contracts

All orders are subject to acceptance by YSCONVEY. Quotations provided are valid for the period specified and do not constitute binding offers until formally accepted through signed contracts.

Contract terms, including specifications, delivery schedules, payment terms, and warranty conditions, will be detailed in individual purchase agreements. In case of conflicts between these Terms of Service and specific contract terms, the contract terms shall prevail.

Customers are responsible for providing accurate specifications, site conditions, and technical requirements. Changes to confirmed orders may incur additional costs and delivery delays.

Payment Terms

Payment terms will be specified in individual contracts and may include advance payments, milestone payments, or payment upon delivery. Standard payment methods include wire transfer, letter of credit, and other internationally accepted methods.

Late payments may incur interest charges as specified in the contract. YSCONVEY reserves the right to suspend services or deliveries for overdue accounts.

All prices are subject to applicable taxes, duties, and shipping charges unless otherwise specified. Currency fluctuations and changes in material costs may affect pricing for long-term projects.

Quality Assurance and Warranties

YSCONVEY is committed to providing high-quality products and services. All equipment supplied meets applicable international standards and certifications as specified in contracts.

Warranty terms vary by product type and will be detailed in individual contracts. Standard warranties typically cover manufacturing defects but exclude normal wear, misuse, or damage due to improper installation or maintenance.

Warranty claims must be reported promptly with appropriate documentation. YSCONVEY's liability under warranty is limited to repair, replacement, or refund as specified in the contract.

Limitation of Liability

YSCONVEY's total liability for any claim arising from or related to our services shall not exceed the total amount paid by the customer for the specific products or services giving rise to the claim.

YSCONVEY shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to lost profits, production delays, or business interruption, even if advised of the possibility of such damages.

Customers are responsible for ensuring proper use, maintenance, and safety compliance of all equipment and systems provided by YSCONVEY.

Intellectual Property

All intellectual property rights in YSCONVEY's designs, documentation, software, and proprietary information remain the exclusive property of YSCONVEY or its licensors.

Customers receive limited rights to use provided documentation and software solely in connection with the purchased equipment and services. Reproduction, distribution, or reverse engineering is prohibited without written consent.

YSCONVEY respects third-party intellectual property rights and expects customers to do the same. Any infringement claims will be handled according to applicable laws and contract terms.

Confidentiality

YSCONVEY maintains strict confidentiality regarding customer information, project details, and proprietary data. Information will not be disclosed to third parties without customer consent, except as required by law.

Customers are expected to maintain confidentiality regarding YSCONVEY's proprietary information, including designs, pricing, and technical data provided during the course of business.

Confidentiality obligations survive termination of business relationships and remain in effect for a period of five (5) years unless otherwise specified in separate agreements.

Force Majeure

YSCONVEY shall not be liable for delays or failures in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, labor disputes, or supply chain disruptions.

In the event of force majeure, YSCONVEY will notify affected customers promptly and make reasonable efforts to minimize delays and find alternative solutions.

If force majeure conditions persist for more than 90 days, either party may terminate affected contracts with written notice, subject to payment for work completed and costs incurred.

Governing Law and Disputes

These Terms of Service and all related agreements shall be governed by and construed in accordance with the laws of the jurisdiction where YSCONVEY is incorporated, without regard to conflict of law principles.

Any disputes arising from or related to these terms or YSCONVEY's services shall be resolved through binding arbitration in accordance with international arbitration rules, unless otherwise specified in individual contracts.

The parties agree to attempt resolution through good faith negotiations before initiating formal dispute resolution procedures.

Modifications and Updates

YSCONVEY reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website and become effective 30 days after posting, unless otherwise specified.

Continued use of YSCONVEY's services after the effective date of modified terms constitutes acceptance of the changes. Customers will be notified of significant changes through appropriate communication channels.

For existing contracts, modifications to these terms will not affect the specific terms and conditions outlined in signed agreements unless mutually agreed upon in writing.
